TERMS AND CONDITIONS — UZYZU
1. Purpose and acceptance
These terms and conditions govern the provision of web design, development and optimisation services offered by UZYZU.
The engagement of any service shall imply the express acceptance of these terms by the client.
2. Nature of the services
UZYZU provides technical and creative services within the digital field.
Under no circumstances are specific results guaranteed, as these depend on external factors beyond UZYZU’s control, including but not limited to algorithm changes, market conditions, competition, and user behaviour.
UZYZU does not provide legal advice.
3. Project commencement
The project shall commence upon:
— acceptance of the quotation
— payment of the initial fee
The scope of the service shall be defined in advance. Any subsequent modification may require a new quotation.
4. Payment terms
The service shall be paid as follows:
— 50% of the total amount upon acceptance of the quotation
— 50% remaining prior to final delivery
The commencement of the project is conditional upon receipt of the initial payment.
Final delivery of the website is conditional upon full payment.
The progression of project phases shall not be dependent on the client’s response. The outstanding balance shall become payable once the included revision rounds have been completed or the project has been accepted (expressly or tacitly).
5. Project delivery
Final delivery of the project shall be conditional upon full payment of the agreed fee.
In the event of total or partial non-payment:
— UZYZU may suspend delivery
— access may be restricted or withdrawn
— the project may be retained in an unpublished state
Until full payment is received, all work carried out shall remain the property of UZYZU.
6. Intellectual property
Upon full payment, the client shall acquire the rights to use the website.
UZYZU reserves the right to include the project in its portfolio, unless expressly agreed otherwise.
7. Client obligations
The client undertakes to:
— provide accurate, complete and up-to-date information
— supply all necessary content (texts, images, materials)
— ensure that they hold the rights to use any materials provided
The client shall be solely responsible for the content supplied and its compliance with applicable regulations.
The quality, coherence and effectiveness of the final outcome shall depend directly on the information provided by the client.
8. Data and legal content
The client shall be responsible for providing the necessary data for the preparation of legal texts or other website content.
UZYZU assumes no responsibility for the accuracy of such data or for the subsequent use of the texts.
Any texts provided are for guidance purposes only and must be reviewed by the client prior to publication.
9. Scope of the service
Unless expressly agreed in writing, the service does not include:
— ongoing maintenance
— continuous support
— subsequent updates
— management of third-party services
10. Revisions by service type
The number of revision rounds included shall depend on the service contracted:
— Essential Website: 1 revision round
— PRO Website: up to 2 revision rounds
— Premium Website: up to 3 revision rounds
Each round must be submitted in a clear and consolidated manner by the client.
Revisions must remain within the originally defined scope and must not involve structural, conceptual or strategic changes to the project.
Any additional revisions shall be considered an extra service and may require a separate quotation.
11. Communication and revisions
All revisions, comments and modification requests must be submitted in writing, via email, messaging (such as WhatsApp) or shared documents, provided that such channels have been previously used in the course of the project.
Verbal or undocumented instructions shall not be considered valid.
Each revision round must be submitted in a clear, complete and consolidated manner in a single communication. Fragmented or successive requests within the same round shall not be accepted.
UZYZU shall not be held responsible for errors, omissions or misinterpretations arising from instructions that have not been communicated in writing.
In the event of any discrepancy, the last written communication accepted by both parties shall prevail.
12. Timeframes and tacit acceptance
Each revision round must be submitted by the client within a maximum period of 5 working days from the delivery of the corresponding version.
If no response is received within this period, the phase shall be deemed tacitly accepted, and the project shall continue accordingly.
The absence of revisions shall not prevent the continuation of the project or the enforcement of the agreed timelines.
13. Delays and client collaboration
UZYZU shall not be responsible for delays resulting from:
— lack of information
— delays in communication
— continuous changes requested by the client
The client must provide all necessary information in a timely manner.
14. Project suspension
UZYZU reserves the right to pause or suspend the project in the event of:
— lack of client collaboration
— absence of necessary information
— failure to comply with client obligations
The resumption of the project may require a revision of timelines and conditions.
15. Limitation of liability
UZYZU shall not be liable for indirect or consequential damages, including but not limited to:
— financial losses
— loss of business opportunities
— interruption of business activities
Outcomes shall depend on external factors beyond UZYZU’s control.
In any event, UZYZU’s liability shall be limited to the amount actually paid by the client.
16. Third-party services
UZYZU shall not be responsible for issues arising from third-party services such as:
— hosting providers
— domain registrars
— plugins
— external platforms
17. Security and access
The client shall be responsible for safeguarding access credentials to their website and related services.
UZYZU shall not be responsible for issues arising from misuse of access or third-party intervention.
18. Project cancellation
In the event of cancellation or abandonment of the project:
— payments made shall not be refunded
— UZYZU may terminate the service
19. Force majeure
UZYZU shall not be liable for delays or failure to perform due to circumstances beyond its reasonable control.
20. Governing law and jurisdiction
These terms shall be governed by Spanish law.
For the resolution of any disputes, the parties submit to the Courts and Tribunals of Valencia.
21. Client Details and Invoicing
The client shall provide the identification details required for the proper provision of the service and for invoicing purposes.
Failure to provide such details may result in UZYZU declining to commence or suspending the project until the required information is supplied.
